License Agreement
This agreement governs the purchase of any exclusive logo offered by Odyste, however you came to it — through logodrop.co, through the Odyste store on Gumroad, or through any other channel Odyste uses now or in future. It is entered into between Odyste, the designer and rights holder, and you as the buyer, and it applies regardless of which payment provider handles the transaction. That provider's own terms apply to the payment itself and do not alter the rights granted below. By completing your purchase, you accept these terms.
Transfer of rights
On receipt of full payment, Odyste transfers to you all transferable rights in the purchased logo. Where German copyright law prevents the assignment of copyright itself, Odyste instead grants you an exclusive right of use, unlimited in time, territory, and content, together with the right to modify the work, to sublicense and transfer these rights, and to pursue claims against third parties in your own name. The practical effect is intended to be equivalent to full ownership.
This grant expressly and individually covers the following types of use, each without restriction as to quantity, medium, or territory:
Reproduction and distribution in print, including packaging, stationery, signage, apparel, merchandise, and advertising material.
Use in digital and online media, including websites, apps, social media, email, and app or platform icons.
Broadcast, streaming, film, and audiovisual use, including animated adaptations.
Use as a company logo, brand mark, product mark, and in corporate identity systems.
Registration and use as a trademark or other industrial property right, subject to your own clearance under Section 4.
Modification, adaptation, recolouring, and the creation of derivative marks.
Sublicensing to third parties and transfer of all rights, for example on the sale of your business.
Types of use that are unknown at the time of purchase are not covered by this grant. German law requires a separate written agreement for those. If such a use becomes relevant to you, Odyste will enter into a written agreement covering it on request, at no additional charge.
Exclusivity
The logo is sold a single time. On purchase it is permanently withdrawn from sale and removed from the available collection on logodrop.co. Odyste will not sell, license, or otherwise make the logo available to any other party, and will not offer a substantially similar design for sale.
Deliverables and promotional rights retained by Odyste
You receive the logo in vector and raster formats together with the editable source file, as stated on the listing for that logo at the time of purchase.
Odyste retains the right to display the logo in a portfolio, on the odyste and logodrop.co websites, on social and professional platforms including Pinterest, X, and Dribbble, and in other promotional material. This right covers material published before the sale as well as material published afterwards, and Odyste is under no obligation to remove or amend existing publications. This use is promotional only. It transfers no rights to any third party, does not permit resale, and does not entitle Odyste to use the logo to identify any business other than as an example of its own design work.
Your responsibility before use
A logo is a design, not a cleared trademark. Whether a mark can be registered or used safely depends on your industry, territory, and the marks already in use there — none of which Odyste can assess on your behalf. You are responsible for conducting your own clearance before you use or register the logo.
No warranty and limitation of liability
Every logo published on Logodrop is designed by hand by Odyste, without the use of generative AI. Odyste does not, however, warrant that a logo is free from conflict with existing trademarks, company names, logos, or other protected works, in any industry or jurisdiction.
Before using or registering a logo, it is your sole responsibility to carry out your own clearance for the industry, territory, and application in which you intend to use it. This includes trademark searches and, where appropriate, obtaining professional legal advice. Odyste owes no clearance, search, or monitoring service under this agreement.
Odyste is liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body, or health, under the German Product Liability Act, and where Odyste has expressly given a guarantee.
In cases of simple negligence, Odyste is liable only for the breach of an essential contractual duty. Essential contractual duties are those that characterise this agreement and on whose fulfilment you may reasonably rely. In such cases, liability is limited to the damage that is foreseeable and typical for an agreement of this kind. Any liability beyond this is excluded. In particular, Odyste is not liable for claims brought by third parties in connection with your use or registration of a logo, nor for the refusal, opposition, or cancellation of a trademark application.
Payment and refunds
The payment for an exclusive logo is processed by an external provider acting as merchant of record. The purchase transaction, including payment, invoicing, tax, and any refund, is governed by that provider's terms, and any statutory rights you may have as a consumer apply in that relationship. This agreement governs the rights in the logo itself and does not limit those rights in any way.
An exclusive logo is delivered as a digital file immediately on purchase and is permanently withdrawn from sale at that moment. It cannot be returned in any meaningful sense, and Odyste does not offer refunds. If a refund is nonetheless granted by the payment provider, the transfer of rights under Section 1 does not take effect, or lapses if it has already taken effect. You must then stop using the logo and delete the delivered files.
Buyers acting as businesses
Exclusive logos are offered to founders, companies, and other buyers acting in the course of a business or professional activity. If you are acting as a consumer, mandatory consumer protection law applies to you and takes precedence over any conflicting term in this agreement.
Changes to this license
Odyste may update this license at any time. Any change applies only to logos downloaded or purchased after the updated version takes effect. Your rights to logos obtained under an earlier version of this license remain unaffected. The version number and date at the top of this document identify the applicable version. Rights already transferred to you under Section 1 cannot be reduced or revoked by a later version.
Governing law, jurisdiction, and severability
This agreement is governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Where you are a consumer, this choice of law does not deprive you of the protection of any mandatory provisions of the law of your country of habitual residence.
To the extent permitted by law, the exclusive place of jurisdiction for any dispute arising from or in connection with this agreement is the place of business of Odyste in Germany. This applies in particular where you are acting as a business, or where you have no general place of jurisdiction in Germany. Odyste may also bring proceedings at your general place of jurisdiction. Where mandatory law provides otherwise, the statutory rules apply. If any provision of this license is or becomes invalid or unenforceable, the validity of the remaining provisions is unaffected.
